General terms and conditions of sale
Article 1. Seller and scope of application
These general terms and conditions of sale (hereinafter "GTC") apply to all sales of products concluded on the website www.vegetal.shop (hereinafter "the Site") between:
VEGETAL SHOP DOO , a company incorporated under Montenegrin law, with its registered office at 19 Slovacka, 81000 Podgorica, Montenegro, registered under number 03800466, email: info@vegetal.shop, telephone: +33 (0)6 51 11 46 47 (hereinafter "the Seller" or "VEGETAL SHOP"),
and any natural or legal person placing an order on the Site (hereinafter "the Client").
Manufacturing workshop and customer service: VEGETAL SHOP, 142 rue de Crest, 26000 Valence, France.
The Site is intended for both individual customers (consumers) and business customers. Certain provisions, in particular the right of withdrawal and the legal guarantees specific to consumers, apply only to individual customers, as specified in the relevant articles. A business customer is defined as any customer acting for purposes related to their commercial, industrial, craft, professional, or agricultural activity.
The Customer declares having read and accepted these Terms and Conditions before placing an order, by checking the box provided for this purpose. The applicable Terms and Conditions are those in effect on the Website on the date of the order. The Seller reserves the right to modify them at any time.
The fact that the Seller does not invoke any of the provisions herein at any given time shall not be interpreted as a waiver of the right to invoke them at a later date.
The individual Client must be at least 18 years old and have the legal capacity to contract.
Article 2. Products
The products offered for sale are artificial plant decoration products: green ceiling tiles (Vegedalle), green walls, artificial plants and trees, plant nets, plant pictures, artificial flowers and accessories. Their essential characteristics are presented on each product page.
Products marked as flame-retardant have undergone a fire reaction treatment, the classification report for which can be provided upon request to info@vegetal.shop. Products marked "non-flame-retardant" have not undergone this treatment and must not be used where fire classification is required.
It is the Client's responsibility, and in particular that of a professional Client operating a public establishment, to verify that the chosen products and their installation method comply with the regulations applicable to their premises, with the requirements of their insurer, and with the structure on which they are installed (suspended ceiling, wall, support). Installation must be carried out in accordance with best practices and the instructions provided by the Seller.
The photographs and illustrations displayed on the Site are as accurate as possible but are not contractually binding. As these are hand-assembled products, slight variations in color, density, or foliage arrangement may occur from one product to another.
Article 3. Price
Prices are shown in euros (€), inclusive of all applicable taxes, but excluding delivery charges. Delivery charges are shown before order confirmation and are included in the order summary.
The Seller reserves the right to change its prices at any time. Products are invoiced based on the rates in effect at the time the order is validated, subject to obvious display errors.
For deliveries outside mainland France, customs duties, import taxes, or clearance fees may be levied by the destination country. These remain the responsibility of the recipient, unless otherwise specified in the quote.
Promotional offers are limited to their validity period and, unless otherwise stated, to one use per customer and per offer.
Article 4. Order
To place an order, the Customer:
- selects the products and adds them to their basket;
- creates an account or logs in, by providing accurate information (name, surname, billing and delivery addresses, email, telephone, and for professionals, company name and registration or VAT number);
- checks the contents of his order and corrects any errors;
- chooses the delivery method and the payment method;
- accepts these Terms and Conditions and confirms their order with obligation to pay.
The Seller confirms the order by email. The sale is only final upon receipt of full payment.
The Customer can view their order history in their "My Account" section. The data recorded by the Seller constitutes proof of all transactions with the Customer. The Seller archives orders and invoices on a reliable and durable medium.
The Seller reserves the right to refuse or cancel any order that is abnormal, particularly with regard to the quantities ordered, or that originates from a Customer with whom there is a dispute relating to the payment of a previous order.
For large or custom orders, a quote can be provided upon request via the Site's contact form. The quote, once accepted and signed by the Client, constitutes an order.
Article 5. Payment
The price is payable in full upon ordering, by one of the following means:
Credit card : CB, Visa, and Mastercard. Payment is processed by the secure payment provider 2Checkout (Verifone). Bank details are entered in a secure and encrypted environment; they are neither transmitted to nor stored by the Seller. The description appearing on the Customer's bank statement may mention the name of the payment provider.

For payments made by bank transfer, the order will be processed upon receipt of funds. If the transfer is not received within 15 days of the order date, the order will be cancelled.
An invoice is issued by VEGETAL SHOP DOO for each order. It is available in the "My Account" section and can be sent by email upon request.
The products remain the property of the Seller until full payment of the price. However, the risks are transferred to the Customer under the conditions set out in Article 7.
For professional clients benefiting from a deferred payment agreed in writing, any delay in payment will automatically result in the application of late payment penalties at a rate of three times the legal interest rate as well as a fixed compensation for recovery costs of 40 euros.
Article 6. Delivery
Products are delivered within mainland France. Deliveries to other destinations are possible upon request.
Delivery times are indicated on the product pages and during the ordering process. As a guideline: 48 to 72 business hours for products in stock, and approximately one week for Vegedalle slabs, which are manufactured in our workshop. Delivery times begin upon receipt of payment. When an order includes products with different delivery times, the longest delivery time applies to the entire order, unless the Seller offers partial delivery.
For individual customers, if the product is not delivered on the date or within the specified timeframe, or failing that, within 30 days of the order, the customer may, after having formally requested the seller to make the delivery within a reasonable additional period, terminate the contract in writing if delivery has not occurred within that period. The seller will then refund all sums paid within 14 days.
Delivery is made to the address provided by the Customer when placing the order. The Customer is responsible for the accuracy of this address. If the package is returned due to an incorrect or incomplete address, or for failure to collect it within the specified timeframe, the Customer may choose between reshipment at their own expense or a refund of the order, less the initial delivery and return shipping costs incurred.
Article 7. Receipt and Transfer of Risks
For the individual Customer, the transfer of risks of loss and damage occurs when the Customer, or a third party designated by him other than the carrier proposed by the Seller, takes physical possession of the products.
For the professional customer, the risks are transferred upon delivery of the products to the carrier.
The Customer is advised to check the condition of the package and products in the presence of the delivery person and, in the event of any anomaly (open or crushed package, missing or damaged product), to make specific reservations on the delivery note. They must inform the Seller within 48 hours of receipt, by email to info@vegetal.shop, attaching photos of the package and products. For business Customers, these reservations must also be confirmed to the carrier by registered letter within 3 days of receipt, in accordance with Article L133-3 of the French Commercial Code.
Article 8. Out of stock
If a product is unavailable after an order has been placed, the Seller will inform the Customer as soon as possible and offer them the following options: delivery on a later date (which will be indicated), replacement with an equivalent product, or a refund for the unavailable products or the entire order. The refund will be issued no later than 14 days after the Customer's choice.
Article 9. Right of withdrawal (private customers)
In accordance with Articles L221-18 et seq. of the Consumer Code, the individual Customer has a period of 14 days from receipt of the products to exercise their right of withdrawal, without having to justify their decision.
To exercise this right, the Customer notifies the Seller of their decision by email to info@vegetal.shop, using the withdrawal form available on the Return and Refund page or any other unambiguous statement.
The Customer must return the products no later than 14 days after notifying us of their decision, to the following address: VEGETAL SHOP, 142 rue de Crest, 26000 Valence, France. The costs and risks of the return are entirely the Customer's responsibility and are non-refundable.
Products must be returned complete, in their original packaging, unused, uninstalled, and in perfect condition. The customer may open the package to examine the products; however, they are liable for any diminished value of the products resulting from handling other than what is necessary to establish their nature, characteristics, and proper functioning (Article L221-23 of the French Consumer Code). The amount corresponding to this diminished value, which may be up to the total value of the product, will be deducted from the refund.
The Seller will refund the price of the products and the initial delivery charges, up to the standard delivery rate, no later than 14 days after being informed of the decision to withdraw. The Seller may withhold reimbursement until the products are received. The refund will be issued via the same payment method used for the order.
In accordance with Article L221-28 of the Consumer Code, the right of withdrawal cannot be exercised for products made according to the Customer's specifications or clearly personalized, in particular custom-made products made on a quote basis.
The right of withdrawal does not apply to business customers. For these customers, no returns or refunds are accepted, except for defective or non-compliant products.

Article 10. Guarantees
Private customers. Private customers benefit from the legal guarantee of conformity provided for in Articles L217-3 et seq. of the Consumer Code and the guarantee against hidden defects provided for in Articles 1641 et seq. of the Civil Code.
Under the legal guarantee of conformity, the Customer has two years from the date of delivery of the product to take action. They can obtain product conformity through repair or replacement, or failing that, a price reduction or termination of the contract, under the conditions stipulated by law. During this period, the Customer is only required to prove the existence of the lack of conformity, not its date of appearance. The implementation of the legal guarantee of conformity is free of charge for the Customer.
Under the warranty against hidden defects, the Customer may, within two years of discovering the defect, choose between rescinding the sale or obtaining a price reduction.
Business customers. The Seller warrants the products against manufacturing defects found upon delivery and reported in accordance with the conditions of Article 7, as well as against latent defects in accordance with Articles 1641 et seq. of the French Civil Code. This warranty is limited, at the Seller's discretion, to the repair, replacement, or refund of the defective product.
Excluded from the warranties are damages resulting from installation not in accordance with the rules of the art or the Seller's instructions, from modification of the product, from abnormal use, from unsuitable cleaning, or from exposure to conditions for which the product is not intended (in particular outdoor use of a product not treated against UV).
Any warranty claim should be addressed to info@vegetal.shop or by mail to VEGETAL SHOP, 142 rue de Crest, 26000 Valence, France, accompanied by the order number and photos of the product.
Article 11. Liability
The Seller is responsible for the proper performance of the obligations arising from the contract. It may be relieved of all or part of its liability by providing proof that the non-performance or improper performance is attributable to the Client, to the unforeseeable and insurmountable act of a third party to the contract, or to a case of force majeure as defined in Article 1218 of the Civil Code.
For professional clients, the Seller's liability is limited to the amount of the order concerned and excludes indirect damages, including loss of business, revenue or customers.
Article 12. Personal Data
The personal data collected during the ordering process (identity, contact details, addresses, order history) is processed by VEGETAL SHOP DOO, the data controller, for order management, delivery, invoicing, customer service, and, where applicable, sending marketing information to which the Customer has consented. The legal basis for this processing is the performance of the contract and, for marketing purposes, the Customer's consent.
This data is intended for the Seller and its service providers involved in fulfilling the order (Website host, payment provider, carriers), who only have access to it for the purposes of their assigned tasks. It is neither sold nor transferred to third parties.
Order data is retained for the duration of the business relationship, and then for the retention period required by accounting and legal obligations. Marketing data is retained for three years from the date of last contact.
In accordance with the General Data Protection Regulation (GDPR) and French Law No. 78-17 of 6 January 1978, as amended, the Client has the right to access, rectify, erase, restrict processing of, object to processing of, and transfer their data. They may exercise these rights by emailing info@vegetal.shop. They may also lodge a complaint with the CNIL (www.cnil.fr).
The use of cookies on the Site is governed by the cookie management banner, which allows the Customer to accept or refuse non-essential cookies.
Article 13. Intellectual Property
All elements of the Site (texts, photographs, visuals, videos, logos, product presentations) are the exclusive property of the Seller or are used with permission. Any reproduction, representation, or distribution, in whole or in part, without the Seller's prior written authorization is prohibited and constitutes infringement.
The trademark "VEGETAL SHOP" has been registered with the INPI (national registration number: 15 4 207 839). Any reproduction or use of this trademark without the prior written consent of the Seller is prohibited.
The creation of hyperlinks to the website www.vegetal.shop is permitted, excluding any framing technique or integration of the Site's content into another site.
Article 14. Applicable Law and Disputes
These Terms and Conditions are governed by Montenegrin law. For individual Customers, this choice does not deprive them of the protection afforded by the mandatory provisions of the law of their country of habitual residence; references to the French Consumer Code and Civil Code contained herein apply in this respect to individual Customers residing in France.
In the event of a dispute, the Customer should first contact the Seller by email at info@vegetal.shop to seek an amicable solution. The Seller undertakes to respond to any written complaint within 15 days.
In the absence of an amicable settlement, the dispute will be brought before the competent courts. Individual clients may bring the matter before the court of their place of residence or any other court with jurisdiction under applicable law. For business clients, exclusive jurisdiction is granted to the courts of Podgorica (Montenegro), including in cases involving multiple defendants or third-party claims.
